SUMMARY

I. Project Overview

The project aims to profitably improve the revenue of Dr. Glenn Wilcox and Wise Medicine. This includes implementing new lead generation and revenue sources and redesigning the website to improve conversion rates and search engine indexing.

II. Objectives:

  1. Develop lead generation methods that result in qualified sales opportunities.

  2. Implement SEO-friendly meta data to enhance search engine visibility and indexing.

  3. Redesign the website to optimize appointment scheduling and sales.

  4. Create and implement a 12 month marketing calendar.

SCOPE OF WORK

BILLING

I. Monthly Program:

  • We shared three plan options in our video for your consideration. 

II. Billing Cycle:

  • Wise Medicine will be invoiced for services rendered on a monthly basis.

  • Invoices will be generated on the 1st of each month and will cover 30 days’ worth of work to be completed in the billling month.

III. Payment Terms:

  • Invoices will be due and payable within 15 days from the date of issue.

  • Wise Medicine is responsible for ensuring timely payment of all invoices to maintain uninterrupted service and project progress.

  • We add 3% to invoices paid by credit card to cover card processing fees.

TERMS & CONDITIONS

I. EXPENSES

Wise Medicine will be responsible for project expenses relating to the development work, such as plugins, extensions, or bundled code. If any software purchases are to be made, Wise Medicine may have the option to purchase the items directly or authorize Brian Offenberger to purchase the items and invoice Wise Medicine for them. Wise Medicine will approve all expenses before they are incurred.

II. ACCOUNT AND PROJECT MANAGEMENT

Brian Offenberger pays for and lives by project management and communication systems that provide a home for organized, collaborative development discussions and tasking. Email is Brian Offenberger’s project management system used for task and discussion management.

Wise Medicine understands that email is used for reporting bugs, sharing feedback on deliverables, collaborating on deliverables, and all other project-related communication. If Wise Medicine wishes to have a phone call to discuss the status of the work or a specific concern, Wise Medicine understands that they must schedule the call with us via email or our calendar scheduling system.

Brian Offenberger and Wise Medicine both agree to work together, in a collaborative manner, to achieve both their goals: efficient timelines, effective deliverables, and paid invoices.

III. SINGLE POINT OF CONTACT

To ensure the project approvals and decisions are always received from a single source, a Client Representative will be delegated and he/she will hold the responsibility of approving work and delivering a clear message of goals to Brian Offenberger.

IV. OWNERSHIP OF CONTENTIVE. OWNERSHIP OF CONTENT

For the purposes of this Agreement, “Content” includes text, video, and images produced for use by Wise Medicine. Provided that all payments have been made, Content and code produced under this Agreement shall be Wise Medicine’s property. Wise Medicine may choose to copy this Content and code for other projects in the future and Brian Offenberger does not have the right to charge service fees for this usage.

However, the foregoing notwithstanding, Brian Offenberger reserves the right to use code generated and experience gained during this Project for future projects with other clients, and Wise Medicine shall have no claim or right against Brian Offenberger or its other clients for use of such code.

Additionally, Brian Offenberger retains the right and/or license to use the work it produces for this Project, in whole or in part, as part of its portfolio of work for marketing purposes.

V. MISCELLANEOUS AGREEMENTS

Wise Medicine’s representative, by signing below, warrants that such representative has the authority to bind his/her principal into this Agreement. Wise Medicine will review the deliverables from Brian Offenberger, provide feedback, and submit approvals in a timely manner. As Brian Offenberger assigns work in project blocks, should Wise Medicine fail to timely respond to requests for review, requests for approval for expenses, or any other communication regarding the development of Wise Medicine’s Project, Brian Offenberger shall have the right to suspend work under this Agreement.

Brian Offenberger affirms that it has the experience and ability to do everything outlined in this Agreement and will complete it all in a professional and timely manner. Brian Offenberger will use best efforts to complete the work of this Agreement on time and will maintain the confidentiality of information Wise Medicine identifies to it as confidential or proprietary. Upon request, Brian Offenberger will create and execute an appropriate non-disclosure agreement.

Brian Offenberger can’t guarantee that its work will be error-free. Further, Brian Offenberger shall not be liable to Wise Medicine or any third-party for damages, including lost profits, lost savings, lost time, lost leads, or any other incidental, consequential, or special damages.

If any provision of this Agreement shall be determined by a court to be unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.

This Agreement is not transferable to anyone else without the permission of Brian Offenberger.

Wise Medicine agrees that any action to resolve a dispute of or pertaining to this Agreement shall be brought solely before the state courts in Maricopa County, Arizona. Additionally, the Agreement shall be construed in accordance with Arizona law. If any action is brought to enforce this Agreement, the prevailing Party shall be entitled to an award of reasonable attorneys’ fees, legal expenses, and court costs.

VI. INDEMNIFICATION

To the maximum extent permitted by law, Wise Medicine agrees to limit Brian Offenberger’s liability for Wise Medicine’s damages to the sum of one month’s retainer. This limitation shall apply regardless of the cause of action or legal theory pled or asserted.

Notwithstanding any other provision in this Agreement, in no event will Brian Offenberger be liable to any party including Wise Medicine for any indirect, punitive, special, incidental or consequential damage in connection with or arising out of this Agreement (including for loss of profits, use, data, or other economic advantages), however, it arises, whether for breach of this Agreement or in tort and even if Brian Offenberger has been previously advised of the possibility of such damage. Further, liability for such damages shall be excluded, even if inclusive remedies provided hereunder fail their essential purpose. Wise Medicine further agrees to defend and indemnify Brian Offenberger from and against any claims by any third party for injuries arising from or related to the work of this Agreement, specifically including, but not limited to, claims by any third party of any violation of such party’s copyrights, trade secrets, or other rights pertaining to images used on Wise Medicine’s behalf, documentation, information, plugins or other material or code supplied to Brian Offenberger by Wise Medicine.

VII. AGREEMENT TERMINATION

If Wise Medicine wishes to terminate the work being performed under this Agreement, a written termination notice must be sent in writing to brian@Brian Offenberger.com 30 days prior to the next invoice due date. Work will cease on the final day of the billing period. No refunds will be given at any time.
